1) About Terms

Terms of Service (the “Terms”) govern your access to and use of EO School’s websites, apps, content, and related services (collectively, the “Services”). By creating an account, purchasing a course, or otherwise using the Services, you agree to these Terms.

2) Who We Are

“EO School,” “we,” “us,” and “our” refer to EO Studio, Inc., a Delaware C-Corp company with its principal place of business at 2300 Mason St, San Francisco, USA. Contact: builders@eoeoeo.net.

3) Eligibility & Accounts

• You must be at least 13 years old to use the Services (16 in the EEA/UK). If you are under the age of majority in your jurisdiction, you may use the Services only with the consent of a parent/guardian.
• You are responsible for the accuracy of registration information and for maintaining the confidentiality of your credentials. You are responsible for all activities under your account.
• We may refuse, suspend, reclaim, or terminate usernames that impersonate others or violate these Terms.

4) Use of the Services

• We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business learning purposes, subject to these Terms and any course-specific license.
• You agree not to: (i) reverse engineer, decompile, scrape, or attempt to derive source code; (ii) bypass access or usage limits; (iii) use the Services to develop competing products; (iv) use the Services in violation of law or to infringe rights of others; (v) use bots or automation to register or access content except as permitted by EO School.

5) Purchases, Subscriptions & Billing

• Pricing: Prices are listed at checkout and may change from time to time. Taxes may apply based on your location.
• Payments: Payments are processed by third-party processors (e.g., Stripe) and are subject to their terms. You authorize us and our processor to charge your payment method for purchases and recurring fees.
• Subscriptions: If you purchase a subscription, it will automatically renew at the then-current price unless you cancel before the renewal date.
• Free Trials: If offered, trials convert to paid plans unless canceled before the trial ends.

6) Refunds

• Self-paced courses: 50% refund for requests made within 3 days after course start date with 50% or less completion rate. No refund for requests made after 3 days after course start date or since downloading the course materials.
• Cohort/live programs: Refunds are available until 24 hours before start; after the start date, refunds are not available.
• Subscriptions: Cancel anytime; payments already processed are non-refundable, but you retain access until the end of the billing period.
• Local consumer law rights may provide additional protections.

7) Course Content & Licenses

• EO School Content. Course videos, readings, workbooks, templates, and other materials (the “Course Content”) are owned by EO School or its licensors. We grant you a limited, non-exclusive, non-transferable license to access the Course Content you purchase for the access period for your personal or internal business use. You may not copy, distribute, publicly perform, or create derivative works except as permitted by law.
• Instructor/Partner Content. Some Course Content is provided by instructors and partners. Their names and marks are used with permission. Licenses to you are as above, unless otherwise stated on the course page.

8) User Content & Feedback

• If you post, submit, or upload content (e.g., forum posts, assignments, testimonials) (“User Content”), you retain ownership and grant EO School a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting), display, and distribute your User Content in connection with operating and improving the Services.
• You represent that you have all necessary rights to your User Content and that it does not infringe or violate any rights or law.
• Feedback, suggestions, or ideas you share may be used by us without restriction or obligation to you.

9) Community Standards & Prohibited Activities

• Be respectful. Do not harass, abuse, or harm others.
• Do not upload or share content that is illegal, infringing, defamatory, deceptive, hateful, or that violates privacy or publicity rights.
• Do not attempt to gain unauthorized access, interfere with the Services, or introduce malware.
• We may remove content or suspend accounts for violations.

10) Third‑Party Services & Links

The Services may link to or integrate with third-party services (e.g., payment processors, analytics, video hosting, SSO). We are not responsible for those services; their terms and privacy policies govern your use of them.

11) Intellectual Property; Trademarks

EO School and associated logos are trademarks of EO School. All rights not expressly granted are reserved. No license to use any trademarks is granted except as stated herein.

12) Copyright/DMCA Policy

If you believe content infringes your copyright, send a notice to our designated member: Taeyong Kim, 2300 Mason St, San Francisco, USA, ty@eoeoeo.net. Your notice should include the information required by 17 U.S.C. § 512(c)(3). We may remove allegedly infringing content and, in our discretion, terminate repeat infringers.

13) Termination

We may suspend or terminate your access at any time for any violation of these Terms or to comply with law. You may stop using the Services at any time. Some provisions survive termination (e.g., IP rights, disclaimers, limitations of liability).

14) Disclaimers

The Services and Course Content are provided “as is” and “as available.” We make no warranties of fitness for a particular purpose, merchantability, or non-infringement, and no guarantee of results from any course. Your use is at your sole risk. Some jurisdictions do not allow disclaimers, so these may not apply to you.

15) Limitation of Liability

To the maximum extent permitted by law, EO School will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for any claim relating to the Services will not exceed the greater of US $100 or the amounts you paid to EO School in the 12 months preceding the claim. These limits apply even if a remedy fails of its essential purpose.

16) Indemnification

You will indemnify and hold harmless EO School, its affiliates, and their directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.

17) Governing Law; Arbitration; Class Action Waiver

• These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules.
• Binding Arbitration: Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration administered by JAMS/AAA under its Consumer Arbitration Rules. Arbitration will be conducted in San Francisco, California or by video/telephone, at the consumer’s election.
• Class Action Waiver: Disputes must be brought in an individual capacity and not as a class or representative action.
• 30-Day Opt-Out: You may opt out of arbitration/class waiver by emailing builders@eoeoeo.net within 30 days of first accepting these Terms.

18) Changes to the Services & Terms

We may modify the Services and these Terms. Material changes will be notified via email or in-product notice at least 14 days before they take effect, unless required sooner by law. Continued use after the effective date constitutes acceptance.
